PART II — TERMS OF USE, COPYRIGHT, AND NON-DISCLOSURE AGREEMENT

These Terms of Use ("Terms"), together with the Copyright Notice and Non-Disclosure provisions set forth herein, constitute a legally binding agreement between you ("User") and Dr. NaAngela L. O'Neal, Leadership Practices Transformation Model (LPTM) ("Owner"), governing your access to and use of  www.leadershippracticestransformationmodel.com (the "Site") and all associated content, materials, programs, and services. By accessing the Site, you agree to be bound by these Terms in their entirety.

1. Acceptance of Terms

Your access to and use of the Site constitutes your unconditional acceptance of these Terms and the Privacy Policy (Part I). We reserve the right to modify these Terms at any time. 2.2 LPTM and ATSC Framework

The Leadership Practices Transformation Model (LPTM), the Authentic Transformative Services Citizenship (ATSC) framework, the ATSC Citizenship Color Assessment, the four ATSC civic archetypes (The Steward, The Servant, The Visionary, and The Catalyst), and all related methodologies, designations, and derivative works are original intellectual property of Dr. NaAngela L. O'Neal and are protected in their entirety. Unauthorized reproduction, adaptation, distribution, or commercial exploitation of these frameworks is expressly prohibited.

2.3 Trademarks

​

"Leadership Practices Transformation Model," "LPTM," "Authentic Transformative Services Citizenship," "ATSC," "I Am the Purpose," and related logos and taglines are proprietary marks of the Owner. Nothing on this Site grants any right or license to use these marks without prior written authorization.

​

2.4 Limited License to Users

​

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Content solely for personal, non-commercial, educational use. This license does not include the right to:

​

•  Reproduce, copy, distribute, publicly display, or create derivative works from any Content;

•  Use any Content for commercial purposes, resale, or financial gain;

•  Remove, alter, or obscure any copyright, trademark, or proprietary notices;

•  Reverse-engineer, decompile, or extract source code from any Site software;

•  Systematically download or scrape Content for use outside the Site;

•  Sub-license, sell, rent, or otherwise transfer any rights granted under this license.

3. NON-DISCLOSURE AND CONFIDENTIALITY AGREEMENT

3.1 Scope of Confidential Information

​

By accessing this Site or engaging with Dr. NaAngela L. O'Neal or Leadership Practices Transformation Model (LPTM) in any capacity, you may be exposed to non-public, proprietary, or confidential information ("Confidential Information"), including without limitation:

​

•  Unpublished curriculum frameworks, lesson plans, and assessment instruments;

•  Business strategies, pricing, financial projections, and partnership arrangements;

•  Research data, study findings, and unpublished manuscripts;

•  Client, student, and participant information and records;

•  Technical systems, software, and proprietary methodologies;

•  Any information designated as confidential or that a reasonable person would understand to be confidential given the nature of the disclosure.

3.2 Non-Disclosure Obligations

​

You agree that you will:

​

•  Hold all Confidential Information in strict confidence and not disclose it to any third party without prior written consent of the Owner;

•  Use Confidential Information solely for the purpose for which it was disclosed;

•  Take all reasonable precautions to protect Confidential Information from unauthorized access, using at least the same care you use to protect your own confidential information, but no less than reasonable care;

•  Not copy, reproduce, or reverse-engineer any Confidential Information except as expressly authorized in writing.

3.3 Exceptions

​

Non-disclosure obligations do not apply to information that:

•  Is or becomes publicly available through no fault of yours;

•  Was rightfully known to you prior to disclosure without restriction;

•  Is independently developed by you without use of Confidential Information;

•  Is required to be disclosed by law or valid court order, provided you give the Owner prompt written notice and cooperate in seeking a protective order.

3.4 Duration

​

Your non-disclosure obligations survive termination of these Terms and remain in effect for five (5) years from the date of disclosure, or indefinitely with respect to trade secrets under applicable law.

​

3.5 Remedies

​

You acknowledge that breach of this Section 3 would cause irreparable harm to Dr. NaAngela L. O'Neal for which monetary damages alone would be inadequate. Accordingly, the Owner shall be entitled to seek equitable relief, including injunction and specific performance, in addition to all other remedies available at law or equity, without the requirement to post bond.

4. User Conduct and Prohibited Uses

​

You agree that you will not use the Site to:

​

•  Violate any applicable federal, state, or local law or regulation;

•  Infringe the intellectual property rights of the Owner or any third party;

•  Transmit spam, malware, viruses, or other malicious code;

•  Impersonate any person or entity or misrepresent your affiliation;

•  Harvest or collect user data without authorization;

•  Interfere with the security, integrity, or performance of the Site;

•  Post or transmit defamatory, obscene, or unlawful content.

5. Disclaimers and Limitation of Liability

5.1 Disclaimer of Warranties

5.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DR. NAANGELA L. O'NEAL AND LEADERSHIP PRACTICES TRANSFORMATION MODEL (LPTM) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR CONTENT. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

5.3 Indemnification

​

You agree to defend, indemnify, and hold harmless Dr. NaAngela L. O'Neal, Leadership Practices Transformation Model (LPTM), and their respective officers, directors, agents, and representatives from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your use of the Site; (ii) your violation of these Terms; (iii) your violation of any third-party rights; or (iv) any content you submit to the Site.

6. Governing Law and Dispute Resolution

​

These Terms shall be governed by the laws of the State of Virginia, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Henrico County, Richmond, Virginia. BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY ACTION ARISING OUT OF THESE TERMS.

7. Termination

​

We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, for any reason. Upon termination, all licenses granted herein terminate immediately; your non-disclosure obligations (Section 3) survive.

8. Entire Agreement

​

These Terms, together with the Privacy Policy (Part I), constitute the entire agreement between you and the Owner concerning the Site and supersede all prior agreements on the same subject matter.

 

9. Severability and No Waiver

​

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision shall not be deemed a waiver.
